Responsibilities

Position Summary:

 

Braun Medical Inc. has an opening for a Corporate Paralegal supporting the Legal and Compliance departments. The Corporate Paralegal will be responsible for gathering, preparing and summarizing relevant materials in support of attorneys in the Legal and Compliance Department and/or business clients. The Corporate Paralegal will perform legal research, draft correspondence, and prepare and edit legal contracts for attorney review, as well as assist with various projects as requested. Attention to detail and a heightened awareness to deadlines are required. In this position, you will be part of a collaborative Legal and Compliance team focused on transactional and transformative business dealings across the company. This role will report to the Vice President and Associate General Counsel responsible for the team.

 

Responsibilities: Essential Duties

  • Lead due diligence and document production projects
  • Review advertising and marketing materials to ensure compliance with the laws relating to copyright and trademark
  • Draft and/or negotiate various agreements per templates and playbooks, such as Confidentiality Agreements and Services Agreements
  • Assist with Compliance Program
  • Assist in the day-to-day supervision of compliance obligations, including maintenance of corporate policies and procedures and interactions with healthcare professionals
  • Drafting, filing and managing various Corporate Resolutions as well as business entity documents for corporations, LLCs and partnerships with State agencies
  • Maintain corporate books and records as requested and ensure compliance with various state laws, internal and external auditor requirements, and company bylaws and operational agreements
  • Prepare, facilitate, and administer letters, emails, and other related documents ensuring accurate grammar, spelling, content, and business formats
  • Conduct legal research and drafting as requested
  • Assist with management of various legal matters, disputes, litigation and strategic projects as requested
  • Requires excellent written and interpersonal communication skills

  • Collaborate across many functions, countries, cultures, and time zones to drive results on complex projects

Expertise: Qualifications -Education/Experience/Training/Etc

 

Required:

  • Education - Associate’s or Bachelor’s degree (B.A.); Paralegal certificate preferred
  • Years of Experience -4+ years paralegal experience
  • Technology - Proficiency in Microsoft Office Suite
  • Business Acumen - Understanding of basic business concepts, strategies, and risks
  • Analytical Skills - Excellent judgment, strategic and analytical thinking and the ability to assess risk and mitigations and make recommendations based on the company’s values, vision, business goals and risk appetite
  • Innovation - Strong problem-solving/creative skills that drive new business solutions
  • Project Management - Strong priority-setting skills, attention to detail and the ability to work on multiple projects at the same time

Required:

  • High school diploma/G.E.D or equivalent required, Associate's or technical degree preferred.
  • 04-06 years related experience required.
  • Regular and predictable on-site attendance
  • Occasional business travel required
